F&C plans to acquire boutique fund group Thames River Capital in a deal worth up to £53.6m.
The deal, which is anticipated to close in or before the third quarter, excludes Nevsky Capital. A £35m share retention and incentive plan has been agreed for Thames River key personnel, subject to the achievements of certain financial targets between 30 months and six years after completion of the acquisition. The board of F&C believes the acquisition represents an attractive opportunity to enhance its business and is consistent with its strategy of developing a multi-specialist asset manager both organically and by selective acquisitions.
